Affiliate Program Terms and Conditions

The MetaPros affiliate program has been designed to offer people a chance to gain financial reward for the promotion of our products and services.  To protect the reputation of MetaPros, its clients and affiliates, the following terms and conditions have been implemented

Membership Requirements:
Applicants must operate and maintain a website. The website may be hosted with MetaPros or it may be hosted elsewhere. Regardless of where it is hosted, the website must remain within the guidelines of MetaPros' own terms and conditions for websites hosted at MetaPros.

All pornographic content and sex-related merchandising is prohibited on all MetaPros servers.  This includes sites that may infer sexual content or links to adult content elsewhere.  MetaPros will be the sole arbiter in determining violations of this provision.

Also prohibited are sites that promote any illegal activity or present content that may be damaging to MetaPros servers or any other server on the Internet.  Links to such materials are also prohibited.

Examples of unacceptable content or links:
-Pirated software
-Copyright violation
-Unauthorized usage of trademark or service mark.
-Hacker programs or archives
-Warez sites
-Racist or hate related material
-Information related to the misuse of credit cards, phones, or computers.

MetaPros will be the sole arbiter as to what constitutes a violation of this provision.

Advertising:
Affiliates may take reasonable efforts to advertise the MetaPros affiliate program on their website, newsletters or any other form as long as the efforts do not involve 'spam' or unsolicited commercial mail, or deceptive practices.  Any affiliate found in violation of this condition will have their affiliate account terminated and all payments outstanding or owed to them will be cancelled.  MetaPros considers spam unacceptable in any form and will not condone its use by either its direct customers, or affiliates.

Commission Payment:
Commissions on trackable on-line sales are accrued on actual sales of hosting accounts made through affiliate link click-throughs to MetaPros website and through the MetaPros' hosting account order form.  The browser used to place the order must be configured to accept and process a cookie from the MetaPros website.

Our cookies have an expiration date of 12 months, so repeat visits that do not come directly from your site will still count towards your commissions if the cookie is not otherwise removed.

You understand you are acting as an independent contractor and as such are responsible for your own taxes and any other liabilities.  You agree that you are not authorized to act on our behalf other than marketing our products and services as an independent contractor for a commission. 

Payments are only issued when an account balance exceeds $50.00. Payments to the affiliates are issued by check, PayPal, or a credit to an active MetaPros hosting account. Payments will only be issued to the affiliate on record.

Commissions are paid:
- on gross sales payments for hosting accounts that are actually collected from clients, and
- on payments that are made on time and in full (for example, late payments or those incurring a manual collection effort may not generate a commission), and
- on payments for services covering periods in increments of one full month (for example, a prorated partial month payment will not generate a commission).

If a sales payment incurs a charge-back or is returned, the commission will be voided or reversed.  If commissions have already been paid and a charge-back or return occurs, the paid commission amount will be deducted from the affiliate account balance.  

To request a payment, the Affilaite must properly complete the Affiliate Account Payment Request Form. Upon receipt of the results of the Affiliate Account Payment Request Form, MetaPros will place the account under review. Unpaid and invalid commissions will be removed from the affiliate account and the payment amount will be adjusted accordingly. MetaPros has 30 days to complete the review and respond to the Payment Request.

MetaPros does not pay interest on any commissions or affiliate account balance.

Checks are mailed via USPS to the affiliate address on record.  It is the responsibility of the affiliate to maintain a correct mailing address.  MetaPros makes reasonable effort to ensure our affiliates receive the payment, but we accept no liability for lost or misdirected checks.  Any "stop payment" fees incurred by MetaPros due to the affiliate failing to maintain correct account information will be deducted from the affiliate account.  

Affiliate account payments are not issued to any party that is in debt to MetaPros exclusive of the affiliate account balance (i.e. when a hosting account is past due).

Account termination:
Affiliate accounts that are inactive for more than 1 year will be terminated. Inactive accounts are those with no new referral sales and no new affiliate link click-throughs to MetaPros' websites.

The affiliate link will be voided upon account termination and cannot be used to generate new referral sales or commissions (a new affiliate account signup is required).

Any accrued commissions due at account termination must be claimed within one year. Unpaid commissions from a terminated affiliate account that remain unclaimed for longer than one year will be voided.

Disclaimer:
We make no express or implied warranties or representations with respect to the affiliate program or any MetaPros products sold through the affiliate program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of course of performance, dealing, or trade usage).  In addition, we make no representation that the operation of our site will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors.

Change of Conditions:
MetaPros retains the right to discontinue the program at any time and without prior notification.  MetaPros retains the right to alter and amend the terms and conditions of the program as required and without notification.  All changes to this page will be applicable to previous versions.  Where information regarding the terms and conditions of MetaPros become relevant this page will hold precedence over any other version, either printed, electronic or verbal.  In the event of a conflict this page will considered valid above others.

Agreement:
By checking 'I agree' in the application and payment request forms, you agree to be bound by the terms and conditions of this agreement.  You also agree that MetaPros is the sole arbiter of what constitutes a violation of this agreement, and that you have read and understand the terms and conditions of this agreement.
